Terms of Service

Acceptance of Terms

By accessing or using Cadento ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of Service

Cadento is a calendar-based email marketing planning tool that integrates with Klaviyo. The Service allows you to:

  • View your sent Klaviyo campaigns on a calendar
  • Preview email creative HTML
  • Track campaign performance metrics
  • Plan future campaigns

Cadento is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Account Registration

To use Cadento, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your password
  • Be responsible for all activity under your account

You agree to notify us immediately of any unauthorized use of your account.

Third-Party Integrations

Klaviyo

When you connect your Klaviyo account to Cadento, you authorize us to access your Klaviyo data with the following read-only permissions:

  • accounts:read — Read your Klaviyo account information
  • campaigns:read — Read your campaign metadata and metrics
  • templates:read — Read email creative HTML for previews

Cadento cannot:

  • Send emails on your behalf
  • Delete or modify campaigns
  • Access customer lists or profiles
  • Make any changes to your Klaviyo account

You may disconnect Klaviyo at any time from Settings. We comply with Klaviyo's Terms of Service and API guidelines.

Figma

When you connect your Figma account to Cadento, you authorize us to access linked design files with read-only permission:

  • file_content:read — Read linked Figma files and generate thumbnails

Cadento cannot:

  • Edit or modify designs
  • Access files you haven't explicitly linked
  • Share your files with third parties

You may disconnect Figma at any time from Settings. We comply with Figma's Terms of Service and API guidelines.

Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to spam, phish, or distribute malware
  • Scrape or harvest data from the Service using automated means
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation

We reserve the right to suspend or terminate accounts that violate these Terms.

Data and Privacy

Your use of Cadento is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You retain ownership of your data. When you delete your account, we permanently delete your data within 30 days.

Intellectual Property

Cadento and its original content, features, and functionality are owned by Cadento and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you create or upload to the Service. By using the Service, you grant us a limited, non-exclusive license to store and display your content solely for the purpose of providing the Service to you.

Payment and Billing

(Cadento is currently free during beta. This section will apply when paid plans are introduced.)

When paid plans are available:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless required by law
  • You authorize us to charge your payment method on file for any fees
  • We may change pricing with 30 days' notice to existing customers
  • Failure to pay may result in suspension or termination of your account

Service Level and Uptime

We strive to keep Cadento available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Third-party service outages (Klaviyo, hosting providers)
  • Events beyond our reasonable control

We will make reasonable efforts to notify you of planned downtime in advance.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADENTO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
  • ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE
  • ANY ERRORS OR OMISSIONS IN CONTENT
  • ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE

IN NO EVENT SHALL CADENTO'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Indemnification

You agree to indemnify, defend, and hold harmless Cadento, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party

Termination

By you: You may delete your account at any time from Settings. Upon deletion, we will permanently remove your data within 30 days.

By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when reasonably possible.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive (including limitations of liability, indemnification, and dispute resolution).

Governing Law and Disputes

These Terms are governed by the laws of the State of [YOUR STATE], United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in court.

You waive any right to a jury trial or to participate in a class action.

Changes to Terms

We may modify these Terms at any time. When we do:

  • We will update the "Last updated" date
  • We will notify you via email if changes are material
  • Your continued use of the Service constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the Service and may delete your account.

Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cadento.
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • No Waiver: Our failure to enforce any right or provision does not waive that right or provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
  • Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
